These Terms of Use (the “Terms”) are a legally binding agreement between you and LUME INNOVATION LLC (“we,” “us,” or “our”) governing your access to and use of our mobile application and related services (collectively, the “Services”). By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Privacy

These Terms incorporate our Privacy Policy, which outlines how we collect, use, and protect your data, including face scans and IPD measurements. By using the Services, you consent to those practices.

2. Eligibility

You must be at least 18 years old to use the Services, or supervised by a parent or legal guardian who accepts responsibility. Users under 13 years old are strictly prohibited from using the Services.

If you are using the Services on behalf of a company, you represent that you have the authority to bind that company to these Terms.

3. Our Services

We provide a mobile application that captures facial data to fabricate custom surgical loupes in-house. We do not offer optometric, diagnostic, or medical services. Any measurements taken through the app are intended solely for product fabrication and are not to be used for clinical or diagnostic purposes.

4. Intellectual Property

All content, designs, logos, and technology used in the Services are the exclusive property of LUME INNOVATION LLC. You are granted a limited, non-exclusive, revocable license to use the Services for personal, non-commercial purposes. You may not copy, modify, distribute, reverse engineer, or exploit our content or software.

5. User Content

If you choose to submit a testimonial, image, or feedback, you grant us an irrevocable, royalty-free license to use that content for marketing and product improvement. You represent that you own the content you submit and that it does not infringe on any third-party rights.

6. Prohibited Conduct

You agree not to:

  • Upload any false, misleading, or unlawful content

  • Attempt to access data that does not belong to you

  • Interfere with the operation or security of the Services

  • Copy, reverse-engineer, or resell any part of the Services

  • Use the Services for unlawful purposes

7. Disclaimers

The Services are provided "as is" and without warranties of any kind. We do not guarantee that:

  • The Services will be uninterrupted or error-free

  • The scan results are clinically accurate or medically validated

  • The product will fit every user perfectly without physical adjustment

You assume all responsibility for your use of the App.

8. Limitation of Liability

To the fullest extent allowed by law, LUME INNOVATION LLC will not be liable for any indirect, incidental, or consequential damages, including loss of data, loss of profits, or product fit dissatisfaction. In no case shall our total liability exceed $100.

9. Dispute Resolution and Arbitration

Any dispute arising from these Terms or your use of the Services will be resolved by binding arbitration in accordance with the rules of JAMS, located in the state of Georgia, unless otherwise required by law. You agree to waive your right to a jury trial and class action participation.

10. Termination

We reserve the right to terminate your access to the Services at any time, without notice, if you violate these Terms. The following sections will survive termination: Intellectual Property, Limitation of Liability, Dispute Resolution, and Miscellaneous.

11. Modifications

We may update these Terms at any time. We will notify you of significant changes via the App. Continued use after changes indicates your acceptance of the revised Terms.

12. Miscellaneous

  • These Terms are governed by the laws of the State of Georgia.

  • If any part of these Terms is held invalid, the remainder will remain in effect.

  • You may not transfer your rights under these Terms without our consent.

  • These Terms represent the entire agreement between you and us.
